1. Acceptance of these terms

These Terms and Conditions ("Terms") are a binding agreement between you ("you" or "User") and Cultioo Inc., a Delaware corporation with a registered address at 8 The Green, Dover, DE 19901, USA ("Cultioo," "Croploo," "we," "us," or "our"), governing your use of the Croploo desktop application (Windows/macOS/Linux), the Croploo web application, this website, any Croploo mobile application, and the Croploo Public API (together, the "Service").

By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy, incorporated here by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old, located in the United States, and capable of forming a binding contract to use the Service. By using the Service you represent that you meet these requirements. If you're using the Service on behalf of a company or other legal entity (for example, under a Team or Institutional account), you represent that you have authority to bind that entity.

3. Description of the Service

Croploo is a commodity and grain market intelligence terminal. Depending on your subscription tier, the Service includes the following, all described here so you know exactly what you're agreeing to use:

3.1 Core market data & analysis

Dashboard — real-time-refreshed futures ticker, futures price table, Daily Brief summary, and a "What Changed Since Yesterday" delta card.
Basis Monitor — cash-minus-futures basis across 116 named elevators in 27 states, shown as a grid, an interactive map, a list, a chart, and an elevator comparison table; includes a Basis Forecast AI (speculative, never a guaranteed number), a Harvest Basis Tracker, a Similar Setups pattern-matching tool, a Basis Convergence Tracker, an embeddable public widget, and CSV/XLSX/PDF export.
USDA Reports — WASDE and Crop Progress with AI commentary, a WASDE Surprise Tracker with real historical price reactions, a Pre-USDA AI Read (speculative directional estimate, always confidence-scored and labeled speculative), a What-If WASDE Scenario Builder, and Export Sales data with pace tracking.
Alerts — automatically generated alerts with outcome tracking, AI explanations on basis anomalies, contract-deadline alerts, and user-defined Custom Alert Rules and Price Targets.
Status — a live health page for each underlying data source.
Freight (Pro/Desk) — trucking/barge freight rate proxies and their correlation with basis.
Market Intel (Pro/Desk) — Commitments of Traders (COT) positioning, seasonality, weather/price correlation, Crop Tour comparisons, crush spread, forward curve, ethanol margin, dollar index correlation, EIA petroleum inventory, natural gas storage, crack spread, and Brazilian crop production (CONAB).
Markets — stock/ETF/ticker search and charting with export, technical indicators, forex, crypto, treasury yield curve, and a sector heatmap (Desk).
Analytics (Desk) — relative value screener, intermarket analysis, volatility monitor, spread trading terminal, and technical indicators.
Energy (Pro/Desk) — EIA petroleum inventory with PADD 1–5 regional breakdown, natural gas storage, and crack spread.
Macro (Desk) — economic indicators, earnings calendar, economic calendar, and a news terminal.

3.2 Portfolio & planning tools

Storage position tracking with live P&L, sell-window recommendations, and hedge context; a Position Size Calculator, Hedge Ratio Calculator, Storage Cost Calculator, and Options P&L Calculator (Black-Scholes-based, for educational/planning purposes only); Contract Deadline tracking; Compare by Location; a Watchlist that personalizes your Daily Brief; and a multi-currency display converter.

3.3 CullyAI

Our built-in AI market analyst, available as an interactive chat panel with real tool-use (querying real basis/futures/COT/seasonality data, running a backtest engine and portfolio stress tests, finding similar historical setups, rendering charts, and exporting data to Excel/CSV), a memory of recent topics you've discussed, a downloadable weekly PDF market report, a response-language switch, and an opt-in Voice Mode with microphone input and spoken responses. CullyAI is also used, silently, to add short written commentary to already-computed real figures throughout the app. CullyAI never invents a data value — every number it shows comes from a real data source or calculation; see Section 4 for what its commentary is not.

3.4 Croploo Chat

Real-time 1:1 direct messages and group chats between Croploo users, with online/offline presence, read receipts, file attachments (up to 8MB), voice-message input, the ability to share basis charts and alert cards into a conversation, the ability to @mention CullyAI for an AI-assisted answer inside a group chat, and the ability to post a Community Insight directly from a chat message.

3.5 Command Console & productivity features

A keyboard-driven command bar supporting navigation, alert and price-target creation/removal, watchlist and portfolio CRUD, and free-text CullyAI questions; global keyboard shortcuts; a multi-tab system with savable tab layouts; and an offline mode that shows the last successfully cached data when the network is unavailable.

3.6 Community

Croploo Signals weekly newsletter preview, Community Insights (trader observations, fact-checked live against real market data), and Croploo Learn educational articles.

3.7 Audit Trail / Decision Log

A personal trade-decision journal (rationale, commodity, direction) with CSV export, intended for your own recordkeeping and self-review — see Section 5 for what it is not.

3.8 Team & Institutional features

Shared watchlists, alert rules, dashboards, and decision-log entries; role-based access (owner/admin/member); seat-limited invitations; a team usage dashboard; and an exportable team audit log.

3.9 Public API

Desk tier and above can generate API keys for programmatic, authenticated access to Croploo's data endpoints, subject to Section 10's Public API terms.

Subscription tiers, current as of the date above, are Basic ($19/mo, 1 seat), Pro ($49/mo, 1 seat), Desk ($99/mo, 1 seat, includes API access), Team ($249/mo, 5 seats, includes API access), and Institutional ($599/mo, 10 seats, includes API access), plus an optional 14-day Pro trial requiring no payment method. Features, pricing, and seat counts for each tier are described at croploo.com/#pricing and are subject to change under Section 8.

4. Not financial, investment, or trading advice

This is the single most important section of these Terms. Read it carefully.

Croploo is a data and analytics tool. Nothing in the Service — including but not limited to CullyAI's chat responses and silent commentary, the Daily Brief, alerts, the Basis Forecast AI, the Pre-USDA AI Read, the What-If WASDE Scenario Builder, the backtest engine, the Similar Setups finder, the Position Size / Hedge Ratio / Storage Cost / Options P&L calculators, or any other feature — constitutes financial, investment, trading, tax, or legal advice, or a recommendation or solicitation to buy, sell, or hold any commodity, futures contract, option, security, or other instrument.

CullyAI is an AI system. Even though we design it to never invent data values and to clearly label speculative or AI-generated content as such, AI-generated content can still be wrong, incomplete, or misleading. You are solely responsible for your own trading, hedging, and business decisions. Croploo is not registered with, and is not regulated by, the Commodity Futures Trading Commission (CFTC), the Securities and Exchange Commission (SEC), or the National Futures Association (NFA); it is not a registered investment adviser, broker-dealer, commodity trading advisor, commodity pool operator, or futures commission merchant, and nothing in the Service should be treated as if it were. Trading commodity futures, options, and related instruments carries substantial risk of loss and is not suitable for all investors. Past performance shown by any backtest, seasonal pattern, or historical comparison is not indicative of future results. Consult a licensed, qualified professional before making any trading or investment decision.

5. Data accuracy, calculators, and analytical tools disclaimer

We source real data from USDA, CFTC, EIA, NOAA, FRED, DG-AGRI, Eurostat, the European Central Bank, and the other providers listed in our Privacy Policy, and we design the Service to never fabricate, simulate, or interpolate a number in place of a real one. That said:

Some data (for example, US basis data) is published only weekly, not daily, by its original source — the Service reflects that real cadence rather than pretending it's more current than it is. Confirm time-sensitive figures against the primary source before acting on them.
Upstream data providers can be delayed, incorrect, or temporarily unavailable, and we are not liable for errors or omissions originating from a third-party data source.
The backtest engine, Similar Setups finder, Basis Forecast AI, and Pre-USDA AI Read are empirical or AI-generated analyses of past data, not predictions or guarantees of future performance, and always disclose their sample size/time period so a thin history isn't mistaken for a robust signal.
The Position Size, Hedge Ratio, Storage Cost, and Options P&L calculators are generic educational tools that compute results purely from the numbers you enter; they do not know your full financial situation, do not access a real options-pricing chain, and are not a substitute for professional advice.
The Decision Log / Audit Trail is a personal note-taking tool for your own recordkeeping. It is not a substitute for your own broker/clearing records and is not independently verified by Croploo.
Community Insights are user-submitted observations. CullyAI's CONSISTENT/QUESTIONABLE fact-check verdict is an AI-generated opinion based on available market data at the time, not a guarantee of accuracy.

The Service is provided "as is" with respect to data accuracy, and we disclaim any warranty of accuracy, completeness, or fitness for a particular purpose regarding any data, calculation, or AI-generated content. See Section 13.

6. Croploo Chat, CullyAI conversations, and voice features

You are solely responsible for what you send in Croploo Chat and to CullyAI. Do not use either to transmit unlawful, harassing, defamatory, infringing, or abusive content (see Section 9).
File attachments are limited to 8MB; you represent that you have the right to share any file you upload and that it does not violate these Terms or any law.
Voice input requires microphone access, which you grant at the OS level. Recordings are sent to a third-party AI service for transcription and are not stored by Croploo after transcription completes. Transcribed text is never sent automatically — you must actively press Send — except when you separately enable Voice Mode, an explicit opt-in hands-free feature (default off) that sends your transcribed speech automatically and reads CullyAI's replies aloud.
CullyAI's memory of your recent topics, and its ability to answer using real tool-retrieved data, do not make it liable, or Croploo liable, for the accuracy of any AI-generated statement — see Sections 4 and 13.

7. Public trader profiles and Community Insights

Opting into a public trader profile or posting a Community Insight makes that content visible to other users (and, for a public profile, anyone with the link). You are responsible for anything you choose to make public and represent that doing so does not violate any law or any third party's rights. You can turn a public profile off, or delete a Community Insight post, at any time from Settings/Community.

8. Subscription, billing, and payment

Subscriptions are billed in advance on a recurring monthly basis via Stripe, and renew automatically until cancelled.
You can cancel at any time from Settings; cancellation takes effect at the end of the current billing period, and you retain access to your paid tier's features until then.
We may change subscription pricing prospectively. If you were an existing subscriber before a price increase, we will honor your previously agreed price for as long as your subscription remains active and uninterrupted (a "grandfathered" rate) — this practice may change in the future, and if it does, we will notify affected users in advance.
The 14-day Pro trial requires no payment method and converts to no paid subscription automatically — after 14 days, your account reverts to the free tier unless you separately choose to subscribe.
Any limited-time promotional coupon or discount is subject to its own stated expiration and terms and may convert to the then-current full price on the coupon's expiration date.
We do not offer refunds for partial billing periods, except where required by applicable law.
Team and Institutional plans include a fixed number of seats (5 and 10, respectively); adding seats beyond your plan's allotment may require an upgrade.

9. Acceptable use

You agree not to:

Use the Service to violate any applicable federal, state, or local law or regulation, including without limitation US commodities and securities laws.
Attempt to circumvent rate limits, subscription-tier gates, or other access controls.
Scrape, reverse-engineer, or use automated means to extract data from the Service outside of the Public API's documented, authenticated use (Desk tier and above).
Resell, sublicense, or redistribute data obtained through the Service or Public API to third parties as a standalone data product, without our prior written consent.
Use CullyAI or Croploo Chat to generate, transmit, or store unlawful, harassing, defamatory, or infringing content, or to impersonate another person.
Attempt to gain unauthorized access to other users' accounts, data, or Team/Institutional resources.
Share your account credentials or API keys with anyone outside your own Team/Institutional account membership.
Use the Service to develop a competing product.
Use SMS alerts in a manner inconsistent with the consent you provided under the TCPA (see our Privacy Policy).

We may suspend or terminate accounts that violate this section.

10. User-generated content, Public API, and intellectual property

10.1 User-generated content

Croploo Chat messages, file/voice attachments, Community Insights, public trader profiles, and Decision Log entries you create are "User Content." You retain ownership of your User Content. By submitting it, you grant Cultioo a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely as necessary to operate the Service.

You are solely responsible for your User Content and represent that you have the right to share it and that it does not violate these Terms or any law. We may remove User Content that violates these Terms.

If you believe content on the Service infringes your copyright, send a notice to support@cultioo.com with the information required under 17 U.S.C. § 512(c)(3), and we will respond in accordance with the DMCA.

10.2 Public API and developer terms

Desk tier and above includes access to the Public API via a generated API key. You are responsible for keeping your API key confidential and for all activity under it. We may rate-limit or revoke API access we reasonably believe is abusive, and API access is subject to the same Acceptable Use restrictions in Section 9.

10.3 Intellectual property

Croploo, the Croploo logo, CullyAI, and all associated names, and the underlying software, design, and content of the Service (excluding User Content and third-party data) are the property of Cultioo Inc. or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms. All rights not expressly granted are reserved.

11. Referral program

If you refer another user who subscribes to a paid plan using your referral code (your Croploo username), you may receive an account credit as described in the app. We may modify, suspend, or terminate the referral program, or decline to credit referrals we believe are fraudulent or abusive, at any time.

12. Team and Institutional accounts

If you subscribe to a Team or Institutional plan, the account owner and admins can invite/remove members, change roles, and view usage and audit data for the team. By joining a Team/Institutional account, you acknowledge that your daily CullyAI usage count, last-login time, and any resources you mark as team-shared are visible to that team's admins. If you are the account owner, you are responsible for your organization's compliance with these Terms across all seats.

13. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA, CALCULATION, ANALYSIS, OR AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR RELIABLE. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CULTIOO INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR TRADING LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CULTIOO INC.'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED US DOLLARS ($100). SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify and hold harmless Cultioo Inc., its officers, directors, employees, and agents from any claim, demand, loss, or damage (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

16. Termination

You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service. Upon termination, your right to use the Service ends immediately; Sections 4, 5, 10.3, 13, 14, 15, and 17 survive termination.

17. Governing law, arbitration, and class action waiver

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles, and applicable US federal law.

17.1 Binding arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. Except for claims that qualify for small-claims court, or claims for injunctive relief related to intellectual property or unauthorized access to the Service, you and Cultioo Inc. agree that any dispute arising out of or relating to these Terms or the Service will be resolved through final and binding arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except as set out below. The arbitration will be conducted in Delaware, or another mutually agreed location, or, if both parties agree, by videoconference or based on written submissions.

17.2 Opt-out right

You may opt out of this arbitration agreement by emailing support@cultioo.com with the subject line "Arbitration Opt-Out" within 30 days of the date you first agreed to these Terms, including your name and the email address on your account. If you opt out, any dispute will instead be resolved in the courts described in 17.4.

17.3 Class action and jury trial waiver

YOU AND CULTIOO INC. EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. Any arbitration or, if you opt out under 17.2, any court proceeding, will be conducted only on an individual basis.

17.4 Courts, if arbitration does not apply

For any dispute not subject to arbitration (including if you opt out under 17.2, or for the carve-outs in 17.1), you and Cultioo Inc. agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

18. Changes to these Terms

We may modify these Terms from time to time. If we make a material change, we will update the "Last updated" date above and notify active subscribers by email in advance of the change taking effect. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

19. Miscellaneous

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for delays or failures caused by events outside our reasonable control, including upstream data-provider outages.
Export compliance. You agree to comply with all applicable US export control and sanctions laws in your use of the Service.
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cultioo Inc. regarding the Service.
